1. Introduction

Welcome to DonellLeads. These Terms & Conditions govern your use of the DonellLeads website, platform, accounts, wallet services, lead marketplace and related services.

By registering for an account, accessing the platform or using any DonellLeads service, you agree to be bound by these Terms & Conditions.

2. About DonellLeads

DonellLeads operates an online marketplace designed to connect customers who require services with professionals and service providers who may be interested in providing those services.

DonellLeads is a platform connecting users. Unless expressly stated otherwise, DonellLeads is not the contractor, subcontractor, employee, agent or service provider performing work for a customer.

3. Definitions

For these Terms:

• "DonellLeads" means the DonellLeads platform and its operator.
• "Client" means a person or organisation posting a project or requesting services.
• "Professional" means a person or business offering services through the platform.
• "Lead" means a project or service opportunity posted on the platform.
• "Wallet" means the professional's DonellLeads account balance used for applicable purchases.
• "Platform" means the DonellLeads website, applications, APIs and related services.

4. Eligibility

You must provide accurate information when creating an account.

You must have the legal capacity to enter into agreements applicable to your use of the platform.

DonellLeads may request additional information where reasonably necessary to verify an account or prevent fraud.

5. User Accounts

You are responsible for maintaining the confidentiality of your account credentials.

You must not allow another person to use your account in a way that violates these Terms.

You must notify DonellLeads if you believe that your account has been compromised.

6. Client Responsibilities

Clients must provide accurate and reasonably complete information when posting a Lead.

Clients should provide enough information for professionals to understand the general nature of the required work.

Clients must not:

• Post fraudulent projects
• Post projects for illegal activities
• Deliberately provide misleading information
• Use the platform to harass professionals
• Abuse or misuse professional information

7. Professional Responsibilities

Professionals are responsible for ensuring that information contained in their profiles and responses is accurate.

Professionals are responsible for ensuring that they hold any licences, registrations, qualifications, insurance or permits required for the services they provide.

Professionals must perform work in accordance with applicable laws, regulations, safety requirements and agreements entered into with clients.

8. Leads

DonellLeads may display Leads based on information supplied by clients.

DonellLeads does not guarantee that every Lead is genuine, available, accurate, exclusive or suitable for a particular professional.

Professionals should perform their own due diligence before entering into an agreement with a client.

9. Lead Purchases

Where a Lead requires payment or wallet credits to access, the professional will be informed of the applicable cost before completing the purchase.

Once a Lead purchase has been completed, the applicable information may be unlocked in accordance with the platform's functionality.

Lead purchases are purchases of access to an opportunity or information. They do not guarantee that the professional will obtain the project, contract or payment from the client.

10. Wallet

DonellLeads may provide professionals with a digital wallet balance for purchasing eligible Leads or other platform services.

Wallet balances are associated with the relevant user account and must not be transferred or sold to another user unless DonellLeads expressly permits such transfer.

Wallet transactions may include deposits, Lead purchases, refunds, bonuses and other adjustments supported by the platform.

11. Wallet Top-Ups

Wallet top-ups may be processed through an authorised third-party payment provider such as PayFast.

A wallet top-up will only be credited after DonellLeads receives and successfully verifies the relevant payment notification.

A payment appearing as successful at the payment provider does not necessarily mean that the wallet has been credited until the DonellLeads payment process has completed.

12. Payments

Payment processing may be performed by third-party payment service providers.

Users may be required to comply with the payment provider's applicable terms and conditions.

DonellLeads may retain payment references and transaction records necessary to operate the platform and meet legal, accounting and security requirements.

13. Refunds

Refund requests will be considered according to the nature of the transaction, the applicable DonellLeads refund rules, payment status and any applicable legal requirements.

A Lead purchase does not automatically qualify for a refund merely because the professional does not obtain the project, does not receive a quotation request or does not ultimately secure work from the client.

DonellLeads may investigate disputed transactions before approving a refund.

14. Cancellation of Payments

A user may cancel a payment before completing the transaction through the applicable payment provider where cancellation is available.

A cancelled payment will not normally result in a wallet credit.

15. Client Contact Information

Certain client information may remain protected until a professional purchases or otherwise qualifies to access the relevant Lead.

Professionals must only use client contact information for legitimate purposes connected to the relevant Lead.

16. No Bypassing of the Platform

Users must not attempt to manipulate the platform in order to obtain protected Lead information without completing the applicable Lead purchase.

Users must not use technical methods, automated scraping, account manipulation or other methods to bypass DonellLeads' access controls.

17. Quotes and Contracts

DonellLeads may facilitate communication between clients and professionals, including the exchange of quotations.

Any contract for work, price, scope, payment schedule, warranty or completion date is generally an agreement between the client and professional concerned.

Users are responsible for reviewing and agreeing to the terms of any project before work begins.

18. Disputes Between Users

DonellLeads encourages clients and professionals to attempt to resolve project disputes directly and professionally.

DonellLeads may assist with platform-related issues but does not automatically accept responsibility for disputes concerning the quality, price, timing or performance of work performed by a professional.

19. Prohibited Activities

Users must not use DonellLeads to:

• Commit fraud
• Conduct unlawful activities
• Distribute malware
• Attempt unauthorised access
• Scrape or harvest protected information
• Create fraudulent accounts
• Manipulate reviews or ratings
• Harass other users
• Impersonate another person or business
• Post deliberately misleading projects
• Abuse payment systems
• Attempt to bypass platform security

20. Account Suspension

DonellLeads may suspend, restrict or terminate an account where reasonably necessary to protect the platform, its users or its business.

This may include suspected fraud, abuse, payment disputes, security violations, unlawful activity or material breaches of these Terms.

21. Intellectual Property

Unless otherwise stated, the DonellLeads website, branding, software, design, text, graphics and platform functionality are protected by applicable intellectual-property laws.

Users must not copy, reproduce, modify, distribute or exploit DonellLeads platform content or software without appropriate permission.

22. User Content

Users retain ownership of content they lawfully submit to the platform, subject to any rights necessary for DonellLeads to operate the service.

By submitting content, you confirm that you have the right to provide that content and that doing so does not unlawfully infringe another person's rights.

23. Accuracy of Information

DonellLeads does not guarantee that information submitted by clients or professionals is always accurate, complete or current.

Users should independently verify important information before entering into a transaction or agreement.

24. Platform Availability

DonellLeads aims to keep the platform available and secure, but continuous uninterrupted availability cannot be guaranteed.

Maintenance, technical failures, network interruptions, security incidents or circumstances outside our reasonable control may temporarily affect the platform.

25. Limitation of Liability

To the extent permitted by applicable law, DonellLeads is not responsible for losses arising from agreements between users, including project performance, workmanship, delays, quotations, non-payment or failure to obtain a project.

Nothing in these Terms is intended to exclude or limit a liability that cannot lawfully be excluded or limited.

26. Privacy

Personal information is handled in accordance with the DonellLeads Privacy Policy and applicable privacy laws.

27. Third-Party Services

DonellLeads may integrate with third-party services including payment providers, hosting providers, communication services, social-media platforms and other technology providers.

Third-party services may have their own terms and privacy policies.

28. Changes to These Terms

DonellLeads may update these Terms from time to time.

Updated Terms will be published on this page and will include an updated revision date.

Continued use of the platform after an update may constitute acceptance of the revised Terms to the extent permitted by applicable law.

29. Complaints

Users may contact DonellLeads regarding platform-related complaints, payment issues, account problems, privacy matters or suspected abuse.

30. Governing Law

These Terms are intended to be governed by the laws applicable in the Republic of South Africa, subject to any mandatory legal rights or protections that apply to a particular user or transaction.
